The Boards of Duke Street and the Independent Directors announce that they have reached agreement on the terms of a recommended cash offer to be made by Duke Street, a company specifically formed for the purpose of making the Offer, for the entire issued and to be issued ordinary share capital of Oasis. The terms of the Offer value each Oasis Share at 82 pence and Oasis’ entire issued and to be issued share capital, at approximately £76.9 million.
Commenting on the Offer, Ron Trenter, Chairman of Oasis, said:
“Over the past two years Oasis has been transformed into a highly profitable, well structured, cash generative business. It has been turned round and is now entering a new phase of development. Whilst we are confident that the Oasis Group will continue to deliver results, today's offer of 82 pence balances the potential rewards and execution risk of delivering that strategy.”
